✓ Stage 3-Due Diligence: Sign back or ratify the Letter of Intent (LOI) If required, have Lawyer review, get buyer deposit asap, order buyer credit, background & credit report, begin loan underwriting (VBS exclusive), determine working capital formula & Vendor Takeback loan terms (VTB), & begin providing buyer with access to full financials, marketing, client list & other details. Retain CPA to assist with this if required. Get accurate receivables count, review transition timing and training period for new owner.
Value of over $10,000-$55,000 usually dependent on deal size & who buyer retains to due diligence.

✓ Stage 4-Closing the Deal: Have Review Engagement Financials completed by CPA prior to final funding of loan, lawyer to review share/asset purchase agreement from buyer's lawyer, determine exact closing & funding date, where & how, finalize all other details to close, severance, consulting agreements, working capital, lease, bank accounts, etcetera. Finally, sign agreements/warranties & representations, deal funds.
